THIS AGREEMENT CONTAINS BINDING CLASS ACTION AND JURY TRIAL WAIVER CLAUSES IN SECTION 11 BELOW.

These Terms of Service (“Terms,” “Agreement”) are between Intuitive Labs Inc. (“Intuitive Labs,” “We,” “us”) and the person or entity (“You,” “Customer”) and govern Your use of the www.intuitivelabs.ai website (“Site”) and Intuitive Labs professional and enterprise services (“Services”). Your use is conditioned on acceptance without modification of these Terms, including Intuitive Labs Inc.’s Privacy Policy, as amended. Persons under 13 are not authorized to use the Site.

1. Our Services

1.1. Cloud Service: Intuitive Labs enables You to build call-operation AI Agents via API, number provisioning, call handling, and a dashboard for customization—use cases include customer service, outbound calls, information gathering, and surveys.

2. Payment Terms

2.1. Payment: Plans posted at https://www.intuitivelabs.ai/pricing. Services are billed monthly. You authorize us to charge your credit card for all fees and applicable taxes.

2.2. Subscription & Cancellation: To cancel, delete your workspace or remove subscription items before period end; otherwise auto-renewal occurs.

2.3. Automatic Payment & Holds: You authorize Intuitive Labs (or its billing agents) to charge or place holds until fees are paid.

2.4. Credit Card on File: You must provide and update valid card info on request; Intuitive Labs is not liable for bank fees due to insufficient funds.

2.5. Billing & Invoices: We may issue invoices; additional charges apply for extra copies or detailed usage reports.

2.6. Late Payment: Failed payments trigger a 14-day invoice due date plus a 7-day grace period. Late fees up to 10% of past due amounts apply. Collection costs (attorneys’ fees, court costs) are your responsibility.

2.7. Service Changes: Rate changes are posted at https://www.intuitivelabs.ai/pricing and apply next cycle.

3. Acceptable Use Policy

3.1. General: Use Services lawfully; no fraud, abuse, or disruption of systems. We may terminate for unlawful or abusive use.

3.2. Telemarketing Compliance: You must comply with TCPA, FTC Telemarketing Sales Rule, Do-Not-Call lists, and other applicable laws, including obtaining express consent for autodialed or prerecorded calls, call recording disclosures, and AI-voice disclosures. Maintain proof of consent for at least five years.

3.3. Fraud Prevention & Publicity Rights: No deceptive schemes or altered caller-ID. Do not use real-person voices without consent.

4. Indemnification

You agree to indemnify, defend, and hold harmless Intuitive Labs, its officers, directors, employees, and agents from any losses or expenses (including attorneys’ fees) arising from your use or inability to use the Services, your violation of these Terms, or applicable laws.

5. Warranty Disclaimer

SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” INTUITIVE LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

INTUITIVE LABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE PRIOR 12 MONTHS OR (B) $100.

7. Intellectual Property Rights

7.1. Ownership: All rights in the Service and Site are owned by Intuitive Labs, except for User Content.

7.2. Limited License: You receive a non-exclusive, non-transferable license to use the Service for internal business purposes. Prohibited actions include modifying, reverse engineering, sublicensing, or creating derivatives.

7.3. User-Generated Content: You retain ownership of content you submit; by submitting, you grant Intuitive Labs a royalty-free license to use and distribute it.

7.4. AI-Generated Content: Intuitive Labs retains ownership of models and underlying algorithms; you are licensed to use the output.

7.5. Feedback: You grant Intuitive Labs a perpetual, royalty-free license to incorporate feedback.

7.6. Third-Party IP: Comply with any third-party terms for incorporated content.

7.7. Trademarks: You may not use Intuitive Labs’ trademarks without prior written consent. You grant us a license to identify you as a user in marketing materials.

8. Call Recording & Third-Party Vendors

Unless you opt out, you permit Intuitive Labs to record calls and process communication data for analytics and model improvement. Data will be de-identified and aggregated before use.

9. DMCA Policy

Intuitive Labs respects IP rights and will respond to valid infringement notices. Provide the required information (signature, work ID, infringing material location, contact info, good-faith statement, and authorization).

10. Modifications to Terms

We may modify these Terms at any time; changes are effective immediately upon posting. Continued use constitutes acceptance. Please review periodically.

11. Dispute Resolution

11.1. Pre-Trial: Give us 60 days to resolve claims by writing to the address below.

11.2. Class Action Waiver: Claims must be brought individually, not as class actions.

11.3. Jury Trial Waiver: You and Intuitive Labs waive rights to jury trials.

11.4. Governing Law: California law governs.

11.5. Exclusive Jurisdiction & Venue: State and federal courts in San Mateo County, CA.

11.6. Consent to Jurisdiction: You submit to these courts.

12. Severability

Invalid provisions are limited or eliminated; the remainder remains in force.

13. Assignment

You may not assign without our consent. We may assign without notice; upon assignment, Intuitive Labs is released from liability.

14. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control (acts of God, war, civil disorders, pandemics, network failures, etc.). Performance deadlines extend accordingly.

15. Enforcement and Waiver

Intuitive Labs may monitor, investigate, restrict, enforce, or bring legal action for violations. We may terminate, suspend, or modify your Service for suspected breaches. We cooperate with law enforcement as required. Waiver of any provision in one instance does not waive it in another.
